These Terms and Conditions ("Terms") govern your access to and use of Reproduct (the "App"), owned and operated by Reproduct (“we”, “us”, “our”). By installing and using our App, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not use the App.

1. Use of the App

a. Purpose

Reproduct is designed to help Shopify merchants create multiple product listings from a single Shopify product on various platforms such as Google Shopping, Bing, Facebook, TikTok, and others, to drive more traffic and increase visibility.

b. Eligibility

To use the App, you must have a valid Shopify account and be in compliance with Shopify’s terms of service. You are responsible for ensuring that your use of the App complies with all applicable laws, rules, and regulations.

2. Account Responsibilities

a. Account Information

You are responsible for maintaining the confidentiality of your Shopify account and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other breach of security.

b. Accuracy of Information

You agree to provide accurate, complete, and up-to-date information when using the App. We are not responsible for any issues arising from inaccurate or incomplete information provided by you.

c. Responsibility for Listing Content
Reproduct.ai is not responsible for the content of any listing created using our platform. Users are solely responsible for ensuring that their listings comply with all applicable laws, regulations, and copyright requirements. Any violations of legal or intellectual property rights arising from user-generated content are the sole responsibility of the user.

3. Service Access and Use

a. License to Use the App

Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable license to access and use the App for your internal business purposes.

b. Prohibited Activities

You agree not to:

• Use the App for unlawful purposes or in violation of any applicable laws.

• Interfere with the operation of the App or tamper with its software or systems.

• Reverse engineer, decompile, or disassemble any portion of the App.

4. Fees and Payments

a. Subscription and Fees

The use of Reproduct may be subject to subscription fees. By subscribing to the App, you agree to pay all applicable fees and charges associated with your use of the App, as outlined in your Shopify account.

b. Changes in Pricing

We reserve the right to modify the pricing of our services at any time, with notice to you. Any changes in pricing will be communicated through Shopify, and continued use of the App after such notice constitutes your acceptance of the new pricing.

c. Refunds

Refunds, if applicable, will be handled according to Shopify’s refund policy. You are responsible for reviewing Shopify’s terms on refunds and contacting us for any inquiries related to payments.

5. Third-Party Platforms

The App interacts with third-party platforms such as Google Shopping, Bing, Facebook, and TikTok to create product listings on your behalf. You acknowledge that we do not control these third-party platforms and that their terms of service apply to your use of their services. We are not responsible for any issues that arise from the use of these platforms, including but not limited to suspension of accounts, listing removal, or changes in platform policies.

6. Intellectual Property

a. Ownership

All intellectual property rights in the App, including but not limited to the software, features, functionality, design, and content, are owned by us or our licensors. You may not use our intellectual property without our express written permission.

b. User-Generated Content

By using the App, you grant us the right to use, reproduce, modify, and distribute any content you provide, including your Shopify product data, for the purposes of operating and improving the App.

7. Disclaimer of Warranties

The App is provided on an "as is" and "as available" basis. We do not warrant that the App will be error-free, uninterrupted, or that any defects will be corrected. We make no representations or warranties of any kind, whether express or implied, regarding the performance, accuracy, or reliability of the App.

8. Limitation of Liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, loss of data, or business interruption, arising out of or in connection with your use of the App, even if we have been advised of the possibility of such damages.

Our total liability to you for any direct damages arising from your use of the App will not exceed the amount paid by you for the use of the App during the three months preceding the event giving rise to the claim.

9. Indemnification

You agree to indemnify and hold us, our affiliates, and our respective officers, directors, employees, and agents harmless from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of your use of the App, your violation of these Terms, or your infringement of any third-party rights.

10. Termination

a. Termination by You

You may terminate your use of the App at any time by uninstalling it from your Shopify store. Please note that uninstalling the App does not automatically cancel any ongoing subscription or payment obligations.

b. Termination by Us

We reserve the right to suspend or terminate your access to the App at any time, with or without cause, including if you violate these Terms. Upon termination, you will immediately cease all use of the App.

11. Modifications to the Terms

We may modify these Terms from time to time. When changes are made, we will update the "Effective Date" at the top of these Terms. Your continued use of the App after any such changes constitutes your acceptance of the new Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of [Insert Jurisdiction], without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or your use of the App will be resolved exclusively in the courts located in Tel Aviv, Israel.
